This Agreement sets the terms on which independent contributors write for The Spiritual Agency’s content properties, including the Wisdom section of spiritual.agency. By submitting a piece for publication on our properties, you agree to these terms in respect of that submission.
1. Who this Agreement is between
This Agreement is between The Spiritual Agency (the UK entity, Companies House 13216970, registered office 71-75 Shelton Street, Covent Garden, London WC2H 9JQ) as the publisher, and you as the contributor.
If you submit a piece on behalf of an organisation (an agency, a publication, a brand), you confirm you have the authority to bind that organisation to these terms, and “you” then refers to that organisation as well as you personally.
2. What you are submitting
You are submitting a written work (the “Piece”) for our consideration to publish on a spiritual.agency property. The Piece may include text, images, audio, video, code samples, diagrams, or other materials you have produced or have the right to include.
3. Editorial process
We review every submission. We may accept, decline, or accept subject to revisions. Where we accept subject to revisions, we describe the revisions we want; you decide whether to make them. We do not publish a Piece without your final approval of the version we intend to publish.
After publication, we may make light editorial corrections (typos, broken links, factual updates, formatting). For material changes that go beyond light editing, we will ask you first. If you object to a change we want to make, we work it out together; if we cannot agree, we may unpublish the Piece rather than publish a version you do not stand behind.
4. Originality and rights warranty
You warrant that:
- The Piece is your original work, written by you (or by your team if you submitted on behalf of an organisation)
- You have not previously published the Piece elsewhere, except as disclosed to us in writing before publication
- The Piece does not infringe the copyright, trademark, privacy, or other rights of any third party
- Where you quote, reference, or include third-party material (images, text excerpts, code), you have the necessary permissions or the use is covered by fair dealing, fair use, or an appropriate licence
- The Piece does not breach any confidentiality obligation you owe to any third party
Where the Piece relies on AI-assisted writing, research, or generation, you disclose this in writing to us before publication so we can label it appropriately under our Disclaimer.
5. Licence you grant to us
For the Piece you submit and the version we publish, you grant The Spiritual Agency a non-exclusive, worldwide, royalty-free, perpetual licence to:
- Publish the Piece on our content properties
- Distribute it via our newsletter, social channels, and syndication partners with appropriate attribution
- Translate it into other languages
- Adapt the formatting and visual presentation for our design system
- Promote our publication of it (including using a short excerpt and your by-line in marketing material)
The licence is non-exclusive: you can republish the Piece elsewhere, including on your own website, after our publication. We ask that you wait at least 14 days after our publication before republishing in a way that competes for SEO, and that you reference the original publication on spiritual.agency when you republish elsewhere.
You retain copyright in the Piece. We do not claim ownership of your work.
6. Attribution
We publish under your name with a short by-line of your choosing (one or two sentences, with one optional link to your website or social profile). We may include a portrait image you provide. We do not attribute the Piece to anyone other than the actual author or authors.
7. Payment
Most guest contributions to our content properties are unpaid. The contributor benefits from publication on our platform, by-line exposure, and the relationship with our audience. Where we commission a piece (where we approach you with a specific brief and a fee, rather than you submitting on spec), the fee is agreed in advance in writing and forms part of this Agreement.
8. Take-down and editorial discretion
We may take a published Piece down for any of the following reasons:
- We discover that a warranty in section 4 was inaccurate
- A third party makes a credible complaint that the Piece infringes their rights
- The Piece, while not directly infringing, has become legally risky for us to host (a defamation claim, a privacy claim, a regulatory complaint)
- The Piece materially conflicts with the Acceptable Use Policy
- We discontinue the section of the site where the Piece lived
Where the take-down is at our editorial discretion (not driven by a third-party complaint), we tell you and offer to either move the Piece to a different section or unpublish with a redirect. Where the take-down is driven by a credible third-party complaint, we may act first and explain afterwards.
You may also ask us to take your Piece down. We will do so within a reasonable time (typically within 14 days), unless removal would breach a legal obligation we have to retain the content.
9. Indemnification
You indemnify The Spiritual Agency against claims brought by third parties arising from a breach of the warranties in section 4 (originality and rights). The cap on the indemnity is the higher of (a) any fee we have paid you for the Piece, or (b) £1,000, except in cases of fraud or wilful infringement where no cap applies.
We indemnify you against claims arising from our editorial changes to the Piece that you did not approve, to the extent the claim would not have arisen against the version of the Piece you submitted.
10. Confidentiality
Both parties keep the terms of any individual commission (specifically: fees, deadlines, internal feedback) confidential. The fact of publication and the published version of the Piece are not confidential.
11. Data protection
The personal data you share with us in connection with this Agreement (your name, contact details, byline information, payment details where applicable) is processed in accordance with the Privacy Policy. Where you reference identifiable third parties in your Piece, you confirm you have the lawful basis to do so under applicable data protection law.
12. Governing law and jurisdiction
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction over any dispute arising from it.
13. General
If any provision of this Agreement is found unenforceable, the remaining provisions continue in effect. This Agreement constitutes the entire agreement between us in respect of the Piece, except where a commission letter, contract, or scope-of-work document explicitly modifies or supplements it for a specific piece. Variations to this Agreement for a specific submission must be agreed in writing.
